Acceptance
By accessing syncsphere.com or engaging SyncSphere for services, you agree to these terms. Client engagements are additionally governed by a signed Statement of Work.
Services
SyncSphere provides commerce infrastructure engineering - Merchant Center, feed engineering, commerce APIs, backend, frontend, cloud/DevOps, and automation. Scope, deliverables, timelines, and fees are defined per engagement.
Deliverables & ownership
On full payment, clients own the source code, documentation, and artifacts produced specifically for their engagement. SyncSphere retains rights to underlying know-how, generic components, and reusable libraries.
Fees & payment
Fees are set in the Statement of Work. Invoices are due within the terms stated. Late payments may pause work. Third-party costs (hosting, APIs, licenses) are the client's responsibility unless otherwise agreed.
Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only to perform the engagement. NDAs are standard on request.
Warranties & liability
Services are provided with professional skill and care. We do not guarantee specific ad performance, platform decisions (e.g. Google approvals), or third-party service uptime. To the maximum extent permitted, aggregate liability is limited to fees paid in the prior three months.
Acceptable use
You may not misuse this website, attempt to disrupt it, or use SyncSphere services for unlawful, deceptive, or infringing activity.
Termination
Either party may terminate with notice as defined in the Statement of Work. On termination, fees for work delivered remain due and SyncSphere will hand over completed deliverables.
Governing law
These terms are governed by the laws of the jurisdiction specified in the Statement of Work. Disputes will be resolved there.
